Terms of Service

1. Eligibility & Account Registration

• You must be at least 18 years of age to create an account and use BuildPH
• You must provide accurate, current, and complete information during registration
• You are responsible for maintaining the confidentiality of your account credentials
• You may not create more than one account per person without prior written approval
• By registering, you confirm that all information you provide is truthful and that you have the authority to agree to these Terms

2. Seller Terms

Listing Products

• You must own or have the legal right to sell any product you list on BuildPH
• Product descriptions must be accurate, truthful, and not misleading
• All listings are subject to review and approval by BuildPH before going live
• BuildPH reserves the right to reject, remove, or suspend any listing that violates these Terms

Seller Responsibilities

• You are solely responsible for the quality, accuracy, and legality of your products
• You must ensure your products are free from malware, viruses, or malicious code
• You are responsible for any applicable taxes on your income from sales
• You warrant that your products do not infringe any third-party intellectual property rights

Product File Requirements

• Digital products must be delivered in their stated format and be fully functional
• Preview images must accurately represent the actual product
• Maximum file size limits apply as specified on the listing page

3. Buyer Terms

• All sales are final. Refunds are only issued if the delivered product is materially different from what was described, or if the file is corrupted and the seller cannot provide a working replacement
• By purchasing, you receive a non-exclusive, non-transferable personal license to use the product unless the seller specifies otherwise
• You may not resell, redistribute, or sublicense purchased products without the seller's explicit written permission
• You may not reverse-engineer, decompile, or extract source code from products where such rights are not explicitly granted
• Free plan users are limited to 3 digital product downloads per month

4. Fees, Commissions & Payments

Platform Fee

BuildPH charges a 5% platform fee on every completed marketplace transaction. This fee is automatically deducted before seller payout.

Payment Processing

All payments are processed by PayMongo. Accepted payment methods include GCash, Maya, credit/debit cards, and over-the-counter channels. Payment processing fees charged by PayMongo are separate from BuildPH's platform fee.

Pricing

• Sellers set their own product prices in Philippine Peso (₱)
• BuildPH reserves the right to display prices in other currencies for international visitors
• Prices shown are inclusive of all BuildPH fees (the platform fee is deducted from seller payout, not added to buyer price)

5. Referral Program

• Users may share their unique referral link to earn commissions when referred users make purchases or upgrade to Pro
• Free plan referrers earn 10% on subscription referrals and 1% on marketplace purchase referrals
• Pro plan referrers earn 40% on subscription referrals and 5% on marketplace purchase referrals
• A referrer cannot earn commission on their own purchases
• A referrer cannot earn commission on sales where they are also the seller
• Commission rates are subject to change with 30 days' notice to existing users
• BuildPH reserves the right to withhold commissions earned through fraudulent referrals, self-referrals, or manipulation of the referral system

6. Subscription Plans

• The Free plan is available at no cost with limited features as described on the Pricing page
• The Pro plan is billed at ₱299/month or ₱2,388/year, charged in advance
• Subscriptions automatically renew unless cancelled before the renewal date
• No refunds are issued for unused subscription periods after the billing date
• BuildPH reserves the right to change subscription pricing with 30 days' advance notice
• Accounts with failed subscription payments may be downgraded to the Free plan

7. Prohibited Content & Conduct

You may not use BuildPH to sell, distribute, or promote:

• Stolen, plagiarized, or counterfeit digital goods
• Products containing malware, spyware, or malicious code
• Content that infringes copyright, trademarks, or other intellectual property
• Adult, pornographic, or sexually explicit content
• Content promoting hate speech, discrimination, or violence
• Products that violate Philippine law or any applicable international law
• Fake reviews, fraudulent ratings, or any manipulation of the platform's trust systems
• Spam, phishing, or deceptive marketing materials

Violations may result in immediate account suspension and forfeiture of wallet balance pending investigation.

8. Intellectual Property

• Sellers retain full ownership of their products and intellectual property
• By listing on BuildPH, sellers grant BuildPH a limited, non-exclusive license to display product information, preview images, and descriptions for marketing and promotional purposes
• The BuildPH brand, logo, platform design, and code are owned by BuildPH and may not be used without written permission
• If you believe content on BuildPH infringes your copyright, contact us at legal@buildph.net with details of the infringement

9. Wallet & Withdrawals

• Earnings from sales and commissions are credited to your BuildPH wallet
• Wallet balances are held in Philippine Peso (₱)
• Withdrawal requests are processed within 1–5 business days
• Minimum withdrawal amounts may apply as specified on the wallet page
• BuildPH reserves the right to hold funds pending investigation of suspected fraud or disputes
• Wallet balances are not insured and do not earn interest
• BuildPH is not a bank or financial institution. Wallet features are provided as a convenience for platform transactions only

10. Dispute Resolution

Between Buyers and Sellers

BuildPH provides a platform for transactions but is not party to agreements between buyers and sellers. In the event of a dispute:

• Contact the other party directly through the platform's messaging system
• If unresolved, submit a dispute report to support@buildph.net
• BuildPH will review the dispute and make a determination within 7 business days
• BuildPH's decision on disputes is final for platform-related matters

With BuildPH

Disputes between you and BuildPH shall first be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to the appropriate courts of the Philippines.

11. Limitation of Liability

To the maximum extent permitted by Philippine law:

• BuildPH is provided "as is" without warranties of any kind
• BuildPH is not liable for any indirect, incidental, or consequential damages arising from your use of the platform
• BuildPH's total liability to you for any claim shall not exceed the total fees you paid to BuildPH in the 12 months preceding the claim
• BuildPH is not responsible for the quality, legality, or accuracy of products listed by sellers

12. Termination

• You may close your account at any time from your profile settings or by contacting support
• BuildPH reserves the right to suspend or terminate accounts that violate these Terms, with or without notice
• Upon termination, your right to access the platform ceases immediately
• Any pending wallet balance at the time of termination will be paid out within 30 days, provided the account was not terminated for fraud or Terms violations
• Sections on intellectual property, limitation of liability, and governing law survive termination

13. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the Republic of the Philippines. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the appropriate courts in the Philippines.

14. Changes to These Terms

BuildPH may update these Terms of Service periodically. For material changes, we will notify registered users by email and display a notice on the platform at least 30 days before the changes take effect. Continued use of BuildPH after the effective date constitutes acceptance of the updated Terms.
